Board Treasurer Position Description

Desired Expertise

We are looking for a dedicated leader with expertise in:

  • Financial Oversight: Experience in financial administration and the review of nonprofit accounting procedures.

  • Reporting & Compliance: Proficiency in reviewing financial reports and ensuring organizational transparency.

  • Strategic Advice: Ability to advise the Board of Directors on financial strategy, budgeting, and long-term sustainability.

  • Fundraising Support: Connections within the financial or philanthropic sectors to support HCA’s diversified funding goals.

Board Service Details

  • Designated Term: The Treasurer is elected for at least one term of one year and takes office at the annual meeting. It is recommended that the Treasurer commit to serving in the position for a minimum of three years.

  • Eligibility Requirement: To qualify for the role of Treasurer, the candidate must have served at least one year on the HCA Board of Directors prior to their term (preferred but can be waived).

  • Meeting Frequency: Regular meetings are scheduled monthly in the evening on the third Wednesday of each month. Additionally, the Executive and Finance Committee typically convenes once a month during the week preceding the Board meeting.

  • Executive Committee: The Treasurer serves as a member of the five-person Executive Committee and is authorized to act on behalf of the Board when necessary.

Expectations and Contributions

  • Attendance: Reliability is essential; Board members may be removed if they are absent without prior excuse from three consecutive regular meetings.

  • Conflict of Interest: To ensure ethical governance, the Treasurer must complete and submit an annual Conflict of Interest Disclosure form by January 31st each year.

  • Liability Protection: Heartland Conservation Alliance, Inc. carries Directors and Officers (D&O) liability insurance to protect board members in the event of actual or alleged errors or omissions.

  • Financial Contribution: Annual personal gift of a size meaningful to the individual.

  • Commitment to Conservation:  Sincere interest in the HCA Mission and programs.

Key Responsibilities of the Treasurer

  • Financial Oversight: Provide primary oversight of the corporation’s financial administration and health, including supervision of the “outsourced CFO/accounting” service provider.

  • Procedure Review: Review financial procedures and reporting formats to ensure they achieve separation of duties, the needs of the organization and regulatory standards.

  • Board Advisory: Present financial reports and advise the full Board on financial strategy, fundraising initiatives, and budget management, including trend and forecast analysis.

  • Collaboration: Work closely with the Board President and Executive Director to ensure the fiscal integrity of the Alliance, including land stewardship commitments.
